1. What the extension is

The extension reconciles supplier statements against your Zoho Books accounts payable. You upload a statement; the extension takes a fixed snapshot of your payables from Zoho Books, clears the lines it can prove, and lists the exceptions — missing bills, missing credits, amount differences and unresolved payments — beside the evidence for each.

2. License and account

We grant you a limited, non-exclusive, non-transferable right to use the extension for your own business during your subscription. You sign in through your Zoho account; you are responsible for who in your organisation has access to that account and therefore to the extension.

3. Fees and trial

The subscription fee and any trial period are those shown on the extension’s Zoho Marketplace listing, and are billed and collected by Zoho under your agreement with Zoho. If your subscription lapses, we may suspend new reconciliations until it is restored; your data is handled as described in the Privacy Policy.

4. Read-only

The extension reads from Zoho Books; it does not create, change or delete records there. It creates no bills, applies no credits, records no payments and posts no journals. Where a correction is needed, it links you to the record in Zoho Books and you make the change.

5. Exceptions are evidence, not conclusions

• A reconciliation compares the statement with what Zoho Books said you owed at the moment of the snapshot. An exception means the two did not agree; it does not mean the supplier is wrong, or that money is owed either way.
• Matching is deterministic. Where the evidence is ambiguous the extension raises an exception rather than guessing, and it never presents an aggregate “money at risk” figure across different kinds of exception.
• The extension provides no accounting, tax, or legal advice. Your books in Zoho Books, as maintained by you and your accountant, remain the system of record.

6. Statement formats

The extension accepts CSV, Excel (.xlsx) and text-based PDF statements of up to 10 MB. Scanned or photographed statements are not supported; the extension tells you at upload rather than guessing at the numbers.

7. Your data

How the extension reads, stores, protects, and deletes data is described in the Privacy Policy, which forms part of these Terms. You represent that you are entitled to grant the extension the access to your Zoho Books organisation that you connect.

8. Acceptable use

You agree not to:

• resell, sublicense, or provide the extension to third parties;
• reverse engineer, scrape, or probe the extension or its infrastructure, except where such a restriction is unenforceable by law;
• use the extension in violation of law or of your agreements with Zoho Corporation;
• interfere with the extension’s operation or attempt to access another customer’s data.

9. Intellectual property

The extension, including its software, design, and documentation, is and remains ours. Your business data is and remains yours. If you send us feedback, we may use it to improve the extension without obligation to you.

10. Availability

We work to keep the extension continuously available, but it depends on the Zoho Books platform and may be interrupted by maintenance, Zoho’s API limits, or events outside our control. A reconciliation may be delayed while Zoho Books is unavailable or while the extension is waiting for Zoho’s rate limits to clear.

11. Warranty disclaimer

The extension is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that its results are complete or that the extension will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total liability under these Terms is capped at the subscription fees you paid for the extension in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including liability for willful misconduct or gross negligence.

13. Term and termination

These Terms run while the extension is connected to your Zoho Books organisation. You may end them at any time by disconnecting the extension from your Zoho Books organisation. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable time after notice, or if a platform requires us to. On termination, data deletion follows the Privacy Policy (processing stops immediately; permanent deletion within 30 days). The sections on product rules, intellectual property, warranty, liability and governing law survive termination.

14. Governing law

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Disputes arising from them are subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.

15. Changes to these Terms

If we change these Terms, we update this page and its version number before the change takes effect, and announce material changes to customers with an active connection. Continued use after the effective date constitutes acceptance.
